PE Firm Charterhouse Makes Bid for Tarsus

LONDON — On Friday, European private equity firm Charterhouse said it made a cash bid for Tarsus, valuing it at around £ 561 million (roughly $712 million). 
The terms of the acquisition imply a value of £668m and a multiple of 17 times the company’s gross average earnings before EBITDA in the company’s past two financial years. Charterhouse is using an acquisition vehicle named Tiger Acquisitions UK to carry out the transaction.
If investors approve the pre-close dividend at the company’s annual general meeting on June 19, 2019, Tarsus shareholders will also be entitled to a final dividend of 7.7 pence, or about 10 cents, for each share for the year to December 31, 2018. 
Formed in 1998, the London-listed media firm specializes in a wide range of B2B media activities including exhibitions and conferences. It runs more than 160 events with a number of flagship brands including Labelexpo and the Dubai Airshow.
